Xerox Corporation (Xerox) has previously announced plans to separate its Business Process Outsourcing Business (the BPS Business) and its Document Technology and Document Outsourcing Business into two independent, publicly-traded companies (the Spin-Off). Following the Spin-Off, the BPS Business will be named Conduent Incorporated (Conduent).
In connection with the Spin-Off, certain entities in the BPS Business that following the Spin-Off will be subsidiaries of Conduent will incur approximately $1,950 million in new long-term indebtedness. On November 22, 2016, Conduent priced $510,000,000 of 10.500% Senior Notes due 2024 (the Notes) at an issue price of 98.672%. Conduent intends to use the proceeds of the issuance of the Notes (1) to fund a portion of the previously announced transfer of cash to Xerox, currently anticipated to be in an amount of approximately $1,820 million, and (2) to capitalize Conduent with approximately $225 million of cash upon consummation of the Spin-Off. The offering of the Notes is expected to close December 7, 2016, subject to customary closing conditions.
The Notes have not been, and will not be, registered under the Securities Act of 1933, as amended (the Securities Act), or the securities laws of any other jurisdiction. Accordingly, the Notes are being offered only to (1) persons reasonably believed to be qualified institutional buyers as defined in Rule 144A under the Securities Act and (2) outside the United States to non-U.S. persons in compliance with Regulation S under the Securities Act.
